It all begins with obtaining a Digital Signature Certificate (DSC), followed by getting a Director Information Number (DIN) and reserving the company's name with the Registrar of Companies (ROC). Afterwards, registering with government bodies like the Employees' Provident Fund Organisation (EPFO) and tax authorities becomes another crucial step. Finally, setting up a bank account is essential, as it integrates the business into the financial system.

How to Obtain a Certificate of Incorporation?

1. Obtain a Digital Signature Certificate (DSC) and Directors Identification Number (DIN)

Begin by acquiring a DSC from an authorised source approved by the Ministry of Corporate Affairs. This DSC validates the SPICe+ form used for registration. Additionally, obtain the DIN necessary for directors.

2. Application for name approval

Following this, an Extraordinary General Meeting (EGM) is conducted to pass a special resolution. Subsequently, an application is made to the Registrar to approve the new name as per rule 29 of the Companies (Incorporation) Rules, 2014. Upon approval, the Registrar issues a fresh Certificate of Incorporation reflecting the updated name.

However, altering the company's address does not prompt a modification in the Certificate of Incorporation. In this case, the company must apply for relevant forms and ensure the update in the company's master data. The address mentioned on the Certificate of Incorporation remains as recorded on the date of incorporation, and retrospective changes are not possible.
